1. Who we are
Prapl is a software brand owned and operated by Hyperledger IT Pvt Ltd ("Prapl", "Hyperledger IT", "we", "us" or "our"), a company incorporated in India. These Terms of Service ("Terms") govern your access to and use of the Prapl website, our web-based applications, and our downloadable/installable software (collectively, the "Services").
2. Acceptance of these Terms
By creating an account, downloading or installing our software, starting a free trial, purchasing a subscription or licence, or otherwise using the Services, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, Acceptable Use Policy and any product-specific terms such as our End User Licence Agreement. If you do not agree, do not use the Services.
If you are using the Services on behalf of a company or other organisation, you represent that you have authority to bind that entity, and "you" refers to that entity.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services.
3. Your account
Some Services require an account. You agree to provide accurate information, keep it up to date, and keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us at [email protected] if you suspect any unauthorised use.
4. Licence to use the Services
Subject to these Terms and any applicable plan, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your own internal or personal purposes. For downloadable software, this licence is further described in the EULA. All rights not expressly granted are reserved by us.
5. Free tools, trials and paid software
Prapl offers a mix of products:
- Free tools — provided at no charge and are complete software, not crippled demos. We may modify, limit or discontinue free tools at any time.
- Free trials — some paid products include a free trial (for example, a 15-day or 24-hour trial depending on the product). At the end of the trial the product may stop working or, where you have entered payment details, convert to a paid plan. Trial length and terms are shown on the relevant product page.
- Paid software — provided on a subscription or one-time licence basis as described at the point of purchase.

6. Fees, billing and renewal
Prices are shown at the point of purchase and are exclusive of applicable taxes unless stated. For subscriptions, you authorise us (and our payment processors) to charge your payment method on a recurring basis until you cancel. Subscriptions renew automatically at the then-current price unless cancelled before the renewal date. You are responsible for any taxes other than taxes on our income.
7. Acceptable use
You agree to use the Services only for lawful purposes and in accordance with our Acceptable Use Policy. You must not misuse the Services, interfere with their operation, attempt to gain unauthorised access, or use them to harm others or to store or transmit unlawful content.
8. Intellectual property
The Services, including all software, source and object code, designs, text, graphics, logos and the "Prapl" and "Hyperledger IT" names and marks, are owned by us or our licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, reverse engineer or create derivative works from any part of the Services.
Any feedback or suggestions you provide may be used by us without restriction or obligation to you.
9. Your data
Prapl is built to be local-first: for many of our tools, your files, credentials and backups stay on your own machines and storage under your own keys. Our handling of any personal data you do share with us is described in our Privacy Policy. Where we process personal data on your behalf as a business customer, our Data Processing Agreement applies.
10. Third-party services
The Services may let you connect to third-party servers, storage, databases or services (for example FTP servers, cloud storage or database hosts). We are not responsible for those third parties, their availability, or their terms. Your use of them is at your own risk and subject to their agreements.
11. Disclaimer of warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure, or that any data transfer or backup will be free from loss or corruption. See our full Disclaimer.
12. Limitation of liability
To the maximum extent permitted by law, Hyperledger IT Pvt Ltd and its directors, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, profits, revenue or goodwill, arising out of or relating to the Services. Our total aggregate liability for any claim relating to the Services will not exceed the amount you paid to us for the relevant product in the twelve (12) months before the event giving rise to the claim, or, for free products, INR 1,000. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Indemnity
You agree to indemnify and hold harmless Hyperledger IT Pvt Ltd from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.
14. Suspension and termination
You may stop using the Services and cancel your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. On termination, your licence ends and you must stop using the Services and, where applicable, delete any downloaded software. Sections that by their nature should survive (including IP, disclaimers, liability limits and governing law) will survive termination.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
16. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to any mandatory rights you have as a consumer, the courts at the location of Hyperledger IT Pvt Ltd's registered office in India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
